# Terms of Service

These Terms of Service ("Terms") govern the photography services provided by Headshots Direct, LLC ("Company," "we," "our," or "us"). By requesting, booking, paying for, or participating in any photography services provided by Headshots Direct, LLC, you ("Client") agree to these Terms.

# 1. Services
Headshots Direct, LLC provides professional photography services, including but not limited to:
* Individual professional headshots
* Corporate headshots
* Team and staff photography
* Conferences and corporate events
* Private and special events
* On-location photography
* Studio photography
* Commercial photography as agreed in writing
The scope of services will be described in the applicable proposal, quote, invoice, estimate, or service agreement.

# 2. Booking and Payment
A reservation is confirmed only after:
* Acceptance of the Company's proposal or estimate;
* Payment of any required retainer or deposit; and
* Written confirmation from Headshots Direct, LLC.
Invoices are due according to the payment terms listed on the invoice unless otherwise agreed in writing.
Late payments may incur interest or collection costs as permitted by applicable law.

# 3. Cancellation & Refund Policy
## Photography Sessions
Clients may cancel or reschedule by providing written notice.
* Cancellations at least **7 calendar days** before the scheduled session may receive a refund of payments made, less any non-refundable retainer identified in the booking agreement.
* Cancellations made within **7 calendar days** of the session are generally non-refundable.
* One reschedule may be permitted if requested at least **48 hours** before the appointment, subject to photographer availability.
## Corporate Events
For events involving reserved dates, staffing, travel, or equipment:
* **90 or more days before the event:** Refund of payments made, less any non-refundable retainer.
* **31–60 days before the event:** Cancellation fee of up to 50% of the contracted amount.
* **30 days or fewer before the event:** Payments are generally non-refundable.
## Photographer Cancellation
If Headshots Direct, LLC is unable to perform services due to illness, emergency, equipment failure that cannot reasonably be remedied, severe weather, or other circumstances beyond our reasonable control, we may:
* Reschedule the services;
* Provide a qualified replacement photographer; or
* Refund amounts paid for services that cannot be provided.
This refund is the Client's sole and exclusive remedy.

# 4. Client Responsibilities
The Client agrees to:
* Arrive on time for scheduled sessions.
* Ensure participants are available and prepared.
* Obtain all necessary permissions for photography locations.
* Secure any permits required by the venue or local authorities.
* Provide accurate schedules, contact information, and event details.
* Ensure they have authority to authorize photography of participants.
Headshots Direct, LLC is not responsible for missed photographs caused by late arrivals, schedule changes, venue restrictions, weather, participant availability, or circumstances outside our reasonable control.

# 5. Artistic Style
Photography is an artistic service.
Clients acknowledge that all creative decisions—including composition, posing, lighting, editing, retouching, cropping, color grading, and image selection—are made in the photographer's professional judgment.
No guarantee is made regarding specific poses, expressions, backgrounds, or artistic outcomes beyond professional industry standards.

# 6. Image Delivery
Unless otherwise stated in writing:
* Images are delivered electronically.
* Delivery timelines are estimates.
* RAW files remain the property of Headshots Direct, LLC and are not included.
* Minor editing and color correction are included unless otherwise specified.
* Extensive retouching or additional revisions may incur additional charges.

# 7. Image Licensing
Headshots Direct, LLC retains all copyrights in every image created.
Clients receive a limited license to use delivered photographs as follows.
## Personal Use License
Individual clients may use delivered photographs for:
* LinkedIn
* Professional websites
* Personal websites
* Business cards
* Resumes
* Social media
* Job applications
* Speaker biographies
* Personal marketing
Personal-use clients may not:
* Sell photographs.
* Transfer the license.
* License images to others.
* Submit images to stock photography services.
* Claim copyright ownership.
## Commercial License
Corporate and commercial clients receive a non-exclusive license for:
* Company websites
* Advertising
* Marketing campaigns
* Social media
* Press releases
* Recruiting
* Internal communications
* Presentations
* Annual reports
* Trade shows
This license:
* Belongs only to the contracting organization.
* Does not transfer copyright ownership.
* Does not permit resale.
* Does not permit sublicensing without written permission.
* Does not authorize sale of the photographs as standalone products.
Expanded licensing is available upon request.

# 8. Copyright
All photographs remain the exclusive intellectual property of Headshots Direct, LLC.
No copyright ownership transfers unless expressly stated in a written agreement signed by an authorized representative of Headshots Direct, LLC.

# 9. Model Release
By participating in a photography session, the Client and all participating individuals authorize Headshots Direct, LLC to photograph and record their likeness.
Unless otherwise agreed in writing, the Client grants Headshots Direct, LLC permission to use photographs for lawful promotional purposes, including:
* Portfolio
* Website
* Social media
* Marketing
* Printed advertising
* Editorial publications
* Photography competitions
* Educational presentations
No compensation is owed for these uses.
## Corporate Client Opt-Out
Corporate clients may prohibit promotional use by providing written notice before the photography session or by including confidentiality requirements in their service agreement.
When an opt-out applies:
* Images will not be publicly displayed by Headshots Direct, LLC.
* Images will only be used to fulfill contracted services.
* Backup copies may be retained for archival, legal, or disaster recovery purposes.
Individual clients may also request that specific images not be used publicly, and reasonable efforts will be made to honor such requests.

# 10. Notice of Filming and Photography
Headshots Direct, LLC may photograph, film, or otherwise record events on behalf of its clients.
By entering an event or designated photography area where notice has been provided, attendees acknowledge that photography, video recording, and audio recording may occur.
Unless prohibited by a written agreement or client confidentiality requirements, attendees grant permission for their likeness, voice, and image to appear in photographs or recordings used for lawful business purposes, including:
* Event documentation
* Marketing
* Portfolio
* Website
* Social media
* Printed materials
* Editorial publications
Individuals who prefer not to appear in photographs should notify event staff or a Headshots Direct, LLC photographer upon arrival. While exclusion from crowd or wide-angle photographs cannot be guaranteed, reasonable efforts will be made to accommodate such requests.
Client-specific privacy policies or confidentiality agreements take precedence over this section.

# 11. Promotional Use
Unless otherwise agreed in writing, Headshots Direct, LLC may display completed work in portfolios, websites, social media, competitions, publications, and promotional materials.
Clients requesting complete confidentiality should notify the Company before photography begins.

# 12. Client-Provided Materials
Clients warrant that they possess all necessary rights and permissions for logos, trademarks, artwork, branding materials, or other content supplied to Headshots Direct, LLC.
The Client agrees to indemnify Headshots Direct, LLC against claims arising from unauthorized use of client-provided materials.

# 13. Image Storage
Headshots Direct, LLC may archive photographs after delivery but is under no obligation to permanently retain image files.
Clients are strongly encouraged to download and back up delivered photographs immediately after delivery.

# 14. Privacy
Headshots Direct, LLC respects the privacy of its clients.
Personal information collected during booking or service delivery is used only for:
* Scheduling
* Client communications
* Payment processing
* Delivery of services
* Legal and accounting requirements
Information is not sold to third parties.

# 15. Limitation of Liability
To the fullest extent permitted by law, Headshots Direct, LLC shall not be liable for indirect, incidental, consequential, punitive, or special damages arising from photography services.
The Company's total liability shall not exceed the total amount actually paid by the Client for the services giving rise to the claim.

# 16. Force Majeure
Headshots Direct, LLC shall not be liable for delays or failure to perform caused by events beyond reasonable control, including but not limited to:
* Severe weather
* Fire
* Flood
* Natural disasters
* Government orders
* Labor disputes
* Power outages
* Equipment failure despite reasonable precautions
* Transportation interruptions
* Illness or injury
* Acts of God

# 17. Governing Law
These Terms shall be governed by the laws of the State in which Headshots Direct, LLC is organized, without regard to conflict of law principles.
Any legal action relating to these Terms shall be brought in a court of competent jurisdiction located within that state, unless otherwise required by applicable law.
